TERMS OF SERVICE: CLARITY CAL

1. THE SERVICE

  • Scope: This agreement governs a one-time, 60-minute digital strategy and alignment session (the "Clarity Call") provided by The Decision People LLC (the "Consultant") to the individual or entity booking the session (the "Client"). The Clarity Call does not include implementation services, continuing advisory services, written work product beyond what is expressly stated below, or post-session follow-up unless separately agreed in writing by the Consultant.

  • Included Deliverables: The session includes 60 minutes of dedicated virtual video consultation and a recommended strategic next move to resolve the primary challenge presented.

2. PAYMENT & FEES

  • Upfront Compensation: The Client agrees to pay a flat fee of $197.00 USD at the time of booking via the integrated payment processor (Stripe) to secure their calendar slot.

  • Booking Finality: Because calendar availability is strictly limited, the fee is earned upon booking in consideration of reserving limited calendar capacity and is non-refundable except where the Consultant cancels and does not provide a rescheduled session.

3. CANCELLATION & RESCHEDULING POLICY

  • The 48-Hour Window: To protect the Consultant’s capacity and prep time, any requests to reschedule a scheduled Clarity Call must be submitted explicitly via electronic mail to support@thedecisionpeople.com at least forty-eight (48) hours prior to the scheduled session start time.

  • Late Changes & Forfeiture: Any rescheduling requests made with less than forty-eight (48) hours' notice, or failure to attend the scheduled video call within ten (10) minutes of the start time (a "No-Show"), will result in the immediate forfeiture of the session slot and the $197.00 fee.

  • Emergency Consultant Adjustments: In the rare event of an operational emergency, the Consultant reserves the right to reschedule the session on reasonable notice in the event of an operational emergency and will provide the Client with immediate priority booking options to rectify the calendar conflict. If the Consultant is unable to provide the session within a commercially reasonable time after rescheduling, the Consultant may, at its sole discretion, issue a refund or apply the amount paid as credit toward another Consultant offering.

4. NO GUARANTEES & LIMITATION OF LIABILITY

  • Strategic Advice Only: The Client acknowledges that business success depends entirely on their own execution and operational variables. The Consultant provides high-level analysis and recommendations but offers no guarantees, warranties, or promises regarding specific financial outcomes, revenue increases, or business metrics resulting from this single session.

  • Liability Cap: To the maximum extent permitted by applicable law, the maximum aggregate liability of The Decision People LLC for any claims arising out of this session shall not exceed the original $197.00 USD fee paid by the Client.

5. Indemnification

  • The Client shall defend, indemnify, and hold harmless The Decision People LLC and its owners, officers, employees, contractors, and agents from and against any third-party claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to (a) data, materials, or instructions provided by the Client, (b) the Client’s violation of applicable law or the rights of any third party, or (c) the Client’s implementation, use, or misuse of any recommendation, strategy, or guidance provided during the Clarity Call. In no event shall The Decision People LLC be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost revenue, lost business opportunities, or loss of data, even if advised of the possibility of such damages.

6. CONFIDENTIALITY

  • Mutual Protection: Both Parties agree that any proprietary business data, backend processes, numbers, or operational challenges shared during this 60-minute session will be treated as strictly confidential and will not be disclosed to any third party without written consent.

  • Internal Quality Control & Documentation: The Client acknowledges and agrees that the Consultant may utilize audio/video recording features and automated AI-powered notetaking or transcription software strictly for internal documentation, quality control, training, and backend operational alignment. The Consultant may also engage confidential third-party service providers to facilitate these functions, provided such providers are subject to contractual or legal duties of confidentiality and use restrictions consistent with these Terms.

  • Data Security: Any data processed by these internal tools will remain confidential and will not be sold, distributed, or shared with external third parties; provided, however, that the Client retains ownership of the Client’s underlying confidential information, and the Consultant retains ownership of its internal notes, recordings, transcripts, templates, and operational documentation, subject in all cases to the confidentiality obligations in these Terms.

7. GOVERNING LAW

  • Jurisdiction: These Terms shall be governed by, and construed in accordance with, the laws of the State of Wyoming, without regard to its conflict of law principles.
